The Healy World Rules of Conduct for IHWMs

We are excited to welcome you to our community as a new Independent Healy World Member. As an Independent Healy World Member (hereinafter referred to as “IHWM”) in the Healy World network marketing community, you have the responsibility to operate with ethics and integrity.  Therefore, we ask you to read the following Rules of Conduct1 to help you create opportunities – and empower you to thrive a life of freedom, passion, and joy.

Our Healy World Vision is to empower people to live a healthy, fulfilled, and conscious life and to inspire our glowing global community to make a continuous positive impact on humanity. We encourage IHWMs to reflect our Healy World vision in daily activities and contact with others.

Please take your time to read and understand each Rule. If you have questions about the Rules of Conduct or need further information, feel free to contact the Healy World Compliance Department: compliance@healy.world.

Section 1: Definitions of basic Terms

1.1 Active Member

A Member whose account is in good standing with Healy World and satisfies a minimum volume requirement, outlined in the Compensation Plan. Some bonuses will require an IHWM to be active to receive the ­bonus. ­Refer to the Compensation Plan for requirements.

1.2 Agreement

The agreement between the Company and each IHWM, which includes: The Member Application and Agreement, the Healy World Policies and Procedures, the Rules of Conduct, and the Compensation Plan, all in their current form and as amended by the Company in its sole discretion. These documents are collectively referred to as the “Agreement.”

1.3 Career Title

An IHWMs Career title is the highest title they have ever achieved. This title does not change unless the IHWM advances to a higher title. The requirements for the career title are the same as the requirements to advance to that title. Refer to the Compensation Plan for more details.

1.4 Compensation Plan

The guideline for IHWMs which describes compensation, bonus requirements, and rank qualifications.

1.5 Customer

A Customer who is an individual that purchases products for personal use and has not signed a member agreement with Healy World. Customers may use the products themselves but may not resell the products to others and may not participate in the Compensation Plan.

1.6 Deletion

Deletion refers to the voluntary removal of an IHWMs business. An IHWM reserves the right to cancel their membership and/or delete their data at any time after their registration.

1.7 Downline

All the Independent Healy World Members below an IHWM in their Enrollment or Dual Team Genealogies are considered to be part of the Downline.

1.8 Independent Healy World Member (IHWM)

An individual who refers new IHWMs and Customers, builds a business, and earns a bonus in agreement with Healy World.

1.9 In Good Standing

An IHWM that does NOT have an active suspension by compliance, /or disciplinary action within the past 12 months, or a negative balance (debt owed) to Healy World.

1.10 Organization

All the IHWMs and Customers below an IHWM in the Enrollment and/or Dual Team Genealogies are considered to be part of an organization.

1.11 Pay-Out

Pay-Out refers to ‘paying out’ the earnings of an IHWM, also referred to as bonus. Most bonuses are paid out on the 15th of the following month. If a payout date is a weekend or a public holiday, the payout will be made on the next business day. Refer to the Compensation Plan for more information.

1.12 Period

Period refers to the specific time frame in which an IHWM qualifications and payouts are calculated for. A period is equal to an actual calendar month. Six periods would be six calendar months. Refer to the Compensation Plan for more details.

1.13 Placement

When an IHWM enrolls a new IHWM, that IHWM can be manually placed in the next available outermost position in either the left or right Dual Team leg. The system will automatically place IHWMs after 7 days.

1.14 Product

A product or service offered by Healy World. Sales and promotional material and certain services are excluded from this definition.

1.15 Prospect

For purposes of Healy Worlds Conflict of Interest Policy, the term “Prospect” means the actual or attempted solicitation, enrolment, encouragement, or effort to influence in any other way, either directly, indirectly, or through a third party, another Healy World Customer or IHWM to enroll or participate in another network marketing or direct sales opportunity. Also including and not limited to other commercial and /or investment (financial) activities.

1.16 Resalable Condition

Products shall be deemed “resalable” if each of the following elements is satisfied:

  1. they are unopened and unused, meaning the tamper-evident seal located on the product remains in place.
  2. original packaging and labeling have not been altered or damaged.
  3. they are in a condition such that it is a commercially reasonable practice within the trade to sell the merchandise at full price; and
  4. the product contains current Healy World labeling.

Note: Any merchandise that is identified at the time of sale as a demonstration kit, nonreturnable, discontinued, or as a seasonal item, shall not be resalable.

1.17 Sponsor

An IHWM who enrolls a Customer or another IHWM into Healy World and is listed as the Sponsor on the IHWM Agreement.

1.18 Sponsoring

The act of enrolling others and training them to become IHWMs

1.19 Termination

Termination refers to the involuntarily termination of an IHWMs business. Healy World reserves the right to terminate for reasons such as violations of IHWM Agreement, policies, Compensation Plan, and the violations of applicable laws. Refer to section 7.

1.20 Upline

All of the Independent Healy World Members (IHWM) above an IHWM their Enrollment and Dual Team Genealogies are considered to be part of the Upline.

Section 2: IHWM Agreement

2.1 Conditions Membership

2.1.1 Membership Application

To become an Independent Healy World Member (IHWM) an individual must be referred by an existing IHWM. Under certain circumstances, Healy World can assign a prospective IHWM to any Downline. Duly signed and registered IHWMs have the license to refer Healy World Products.

2.1.2 One Membership per Individual

An individual may only have one (1) IHWM membership. If an individual registers for more than one (1) membership, only one membership may be kept and additional memberships will be ­resolved, refer to Rule 4.2.7.

2.1.3 Minimum Age

An individual must be of the age of legal capacity to be an IHWM. Violation of this rule will lead to termination.

2.1.4 Spouses or Life Partners

Should an IHWM spouse or life partner wish to become an IHWM, the spouse or the life partner must be enrolled under the same Downline.

2.1.5 Cancellation Of Membership

An IHWM may cancel or delete their membership or account at any time after their registration. An IHWM can change their IHWM status into a Retail Customer. For more information, refer to Section 2.4.

2.1.6 Re-registration of a Membership

Former IHWMs must fulfill the Period of Inactivity requirements before re-registering for membership under a different sponsor or participating in other memberships. Refer to Rule 2.1.8.

2.1.7 Disclosure of Re-registration

Former IHWMs must notify Healy World at the time of the re-registration and provide the former MemberID number. Memberships may be dissolved if the IHWM fails to inform Healy World of re-registration under a different sponsor, participating in other memberships or makes misrepresentations regarding it.

2.1.8 Period of Inactivity

The Period of Inactivity is a waiting period where former IHWMs may not participate in Healy World business in any way. The waiting period contains three (3) months. Re-registration of a new membership must be made under this rule.

During the waiting period, former IHWMs may not:

  • Refer Healy World products or materials.
  • Enroll IHWMs or Customers or offer the Healy World opportunity.
  • Participate, promote, or assist in other memberships.

After the Period of Inactivity, the former IHWM may apply for a new membership.

2.1.9 Product Refusal

An IHWM may not manipulate the optional purchase of a product by refusing the shipment of Healy World purchased products to switch Sponsors. This practice may result in sanctions. There is no product purchase required to become an IHWM.

2.1.10 Legal Entities as IHWMs

A corporate membership is an IHWM who operates the Healy World Business as a sole trader of their legal entity, after providing the required documentation to Healy World. An IHWM may only operate one (1) membership, refer to Rule 2.1.2

2.2 Transfer of Membership

2.2.1 Sale, Transfer of Delegation of Membership

A Member may transfer or delegate their right or interest in their membership with prior written approval by Healy World. To preserve the integrity of the hierarchical structure, it is the sole discretion of Healy World to either accept or reject the transfer or delegation of ownership. Any attempted transfer without such approval may be voided at the discretion of Healy World.

2.2.2 Requirements Transfer of Membership

A membership can only be transferred to an individual who is not a member. The proposed Member may not have been involved in Healy World business in the previous three (3) months. Such request will not be considered and will be voided at the discretion of Healy World, refer to Rule 2.1.8.

To request written approval for a transfer of a Healy World business, please contact Healy World Customer Support for assistance and documentation requirements. An IHWM who sells their business is not eligible to re-register for a new membership in any organization for three (3) months, following the date of the sale, as stated in the transfer agreement.

2.2.3 Responsibility After Transfer

Should the sale be approved by Healy World, the buyer will acquire the IHWM’s Downline, titles, and Healy World products. The buyer has no rights to the bonus generated prior to the transfer. Any debt obligations that either seller or buyer may have with Healy World must be satisfied prior to the approval of the transfer of the Healy World business.

2.3 Inheritance

The membership of a deceased IHWM may be transferred to an heir, who is not a Member, subject to applicable laws, rules, and Healy World’s approval which shall not be unreasonably withheld.

An inherited membership may be transferred to the individual heir directly, or to another individual with the heir’s prior approval. The heir must provide all documentation requested by Healy World. Please contact Healy World Customer Support for assistance and documentation requirements.

If the heir of the deceased IHWM already operates a Healy World membership, the bonus earned by the deceased IHWM and the Healy World products, if any, will be transferred to the heir’s account. The account of the deceased IHWM will be closed afterward. If the account has not been transferred after the decease and a period of three (3) months, skipping of the vacant position applies and the responsibility over personally enrolled Members will be moved to the direct Upline.

Request to delete a deceased’s membership may be made directly to Healy Compliance at compliance@healy.world.

2.4 Dissolving the IHWM Agreement

2.4.1 Deletion of Account

A Member may immediately delete their account by contacting Healy World Customer Support. Before deletion, the IHWM must download all commission statements and withdraw all funds from their eWallet account. After deletion, the individual shall keep access to their eWallet account, but lose the access to retain their Healy World accounts and Healy World products. A Member must inform their Downline when deleting their account. The Healy World business of the deleted IHWM will skip to the vacant position and responsibility thereof will be moved to the direct Upline.

2.4.2 Cancellation of Membership

A Member may request a status change and cancel their Healy World Business by contacting Healy World Customer Support. The membership will be converted into a Customer account. As a Customer, it will be possible to retain access the Healy World Shop and Healy World products. A Member must inform their Downline when cancelling their account. The Healy World business of the cancelled IHWM will skip to the vacant position and responsibility thereof will be moved to the direct Upline.

2.4.3 Period of Inactivity

A Member may not use deletion or cancellation to immediately change sponsor and placement. Instead, the IHWM who has cancelled or deleted the membership is not eligible to re-register for a Healy Business or have any financial interest in a or any Healy business for three (3) months, refer to rule 2.1.8. The cancellation or deletion request becomes effective when received by Healy World.

2.4.4 Termination of Membership

Violations of the rules can harm or impact the Healy World brand image, products, reputation, and all businesses. For this reason, enforcing sanctions is necessary. Healy World has the sole discretion to terminate a membership or impose sanctions for, but not limited to, the ­following reasons:

  • Violation of any terms and conditions or rules.
  • Violation of any provision in the policies (i.e., social media policy, privacy policy) and procedures.
  • Violation of any provision in the Compensation Plan.
  • Violation of any applicable law, ordinance, or regulation regarding the Healy World business; and/or engaging in unethical business practices or violating standards of fair dealing.
  • At its absolute discretion to act as it deemed fit in the circumstances.

For more information on enforcement policy and termination, refer to Section 7.

2.4.5 Effect of Deletion / Cancellation

Following a deletion or cancellation, an IHWM:

Shall have no right, title, claim, or interest to any bonus from the sales generated by the IHWMs former organization or any other rewards in association with the IHWMs former independent business.

Effectively waives all claims to property rights or any interest in or to the IHWMs former Downline.

Shall have access to their earnings made prior to the cancellation or deletion, through their eWallet account.

Cancellation of an eWallet account must be requested through the eWallet Customer Support directly.

Section 3: Your IHWM Business

Personal relationships are the foundation of direct selling and the key to building long-lasting Member and Customer relationships. Only through personal relationships do Members and Customers receive benefits from being part of the Healy World community. Personal relationships are important components of the Healy World business and must be and are the foundation of each membership.

Please read these rules, so you may build and strengthen your Healy World business, complying with local and direct selling regulations, and in the best interest of your Members and Customers.

3.1. IHWM activities

3.1.1 General Compliance

A Member must comply with all laws and Rules in the Healy World Rules of Conduct, policies and procedures. In addition, IHWMs may not encourage other IHWMs to violate the terms of their agreements or the law.

In the performance of the business, a Member warrants and represents that they are aware of and familiar with the provisions of the law and shall comply with the local law. An IHWM shall not engage in any activity which will bring either them or Healy World into disrepute.

IHWMs have no authority to bind or assume obligations on behalf of Healy World. They shall indemnify Healy World in respect of costs or damages arising from noncompliance to these rules.

3.1.2 Self-Employment

Members do not have any employment relationship with Healy World. When presenting the Healy World business opportunity to others, the IHWM must clearly state the independent character of this business and the fact that no employment with Healy World exists.

Healy World provides opportunities for IHWM to receive compensation, but under no circumstances can it be viewed as a job. IHWMs are self-employed and may not suggest their Healy World business is a job.

A sponsor may not participate in or interfere with the business of Downline IHWMs and may not initiate or develop an employee/employer relationship with their Downline IHWMs.

3.1.3 Maintaining the Brand Image and ­Reputation of Healy World

Members may not engage in conduct that ­involves crime or dishonesty. IHMWs who are defendants in an investigation, who may have a criminal background, or who may otherwise harm or impact the Healy World brand image, products, intellectual property, and its reputation by association.  Healy World may ­conduct an identity and credit check if deemed ­necessary.

3.1.4 Conduct Regarding Harassment/­Discrimination

Healy World forbids any form of unlawful harassment and discrimination.

3.1.5 Account Modifications

A Member may modify their existing IHWM account details (i.e., change a social security number to a federal ID number, change a name due to marriage, or change the form of ownership from an individual to a business entity owned by the IHWM) by contacting Healy World Customer Support. Depending on the request, the IHWM must provide the required documentation to Healy World.

IHWMs must relay any changes about previously provided information to Healy World without undue delay.

3.1.6 Licenses and Tax obligations

Members are required to comply with business registration, necessary licenses, and tax obligations when operating their Healy business. ­Including without limitation the guidelines when conducting the Healy business, IHWMs must ­obtain the necessary approvals/licenses and comply with any tax laws and regulations regarding tax registration and filing.

IHWMs must relay any changes about ­previously provided information to Healy World without undue delay.

3.1.7 Contact with Customer or Member

In accordance with Customer Protection Laws, from the beginning of the contact with Customer or Member, an IHWM must identify themselves as independent and explain the purpose of their approach.

3.1.8 Identification

In accordance with Customer Protection Laws, an IHWM is required to identify themselves when promoting or referring Healy World products to Members or Customers, IHWMs must identify themselves as follows:

  • Disclose that they are an Independent Healy World Member
  • By providing their name
  • By providing an address
  • By providing contact information, whether E-mail or Phone number

Identification is required in any related communication, whether online or offline.

3.1.9 Purchasing

Only products purchased directly over the official Heal World website count towards qualification and earnings under the Compensation Plan.

3.1.10 Purchasing on Behalf Of

Members may not place orders or create an ­account in the name of another IHWM or a new prospect, without that IHWMs prior written ­approval.

3.1.11 No Association other Organizations or ­Products

To avoid false association of Healy World products with other products, services, or third-party companies IHWMs may not:

use the Healy World network to promote a business opportunity of another (direct selling) company to any Member or Customer, whether online or offline.

promote products or services of another (direct selling) company to any Member or Customer, whether online or offline.

Healy World reserves the right to terminate an IHWM in violation of this rule.

3.1.12 Compensation Plan Manipulation

The Compensation Plan is the basis of the Healy World direct selling system. It is intended to compensate Members for leading, training, mentoring, and developing a Downline organization. It is fundamental to maintain the integrity and purpose of the Compensation Plan. Members who engage in Compensation Plan manipulation harm the direct selling business, disrupt the network marketing aspect, and might deny other Members financial compensation right­fully due to them.

If an IHWM engages in any activity and conduct established to be unethical, unnecessary, and unreasonable in achieving bonus and ­recognition, Healy World reserves the discretion to revoke and forfeit any such bonus and recognition.

A list of non-inclusive examples that may ­indicate Compensation Plan manipulation:

Noncompliant enrollment activities:

    • The enrollment of individuals or entities without the knowledge of and/or execution of an agreement by such individuals or business entities.
    • The enrollment of individuals with false or misleading information.
    • The fraudulent enrollment of an individual or entity as a Customer or Member.
    • The enrollment or attempted enrollment of non-existent individuals or business entities as Customers/IHWM’s (“phantoms”).

Purchases:

    • Purchasing Healy World products or services on behalf of another Customer or Member, or under another Customer’s or IHWM’s ID number, to qualify for commissions or bonuses.
    • Purchasing excessive amounts of products or services that cannot reasonably be used or resold in a month.
    • Any other mechanism or artifice to qualify for rank advancement, bonuses that are not driven by bona fide product or service purchases by end-user consumers.
    • Creating doubt for Customers or Members or misleading them with the respect to the identity of the enrollment sponsor.
    • Motivating a Downline Member to place orders as a strategy for the Upline to benefit, or with the result that the Upline does benefit, under the Compensation Plan.
    • Placement of an order to revoke it shortly after the bonus run has been completed.

Other:

    • Motivating or teaching other Members to engage in Compensation Plan manipulation.
    • Failing to relay to Healy World any information that suggests another Member or individual may have engaged in Compensation Plan manipulation.

3.2 International IHWM Business

Not all countries are open for Healy World. This results in limitations to purchasing Healy World products and operating Healy World businesses in certain countries.

3.2.1 Activities in Open Countries

Members must comply with all Healy World rules, and all applicable laws and regulations, including those relating to product disclaimers, product registration, duties, customs, taxes, and Customer protection and advertising laws in the country where the product is distributed.

3.2.2 Purchasing and Business Activities in Non-Open Countries

A Member may not operate a business in countries not yet officially opened for Healy World. A Member may not be a resident of a non-open country. IHWMs are not allowed to do business with individuals residing in non-open countries. Such business includes promoting the opportunity, the product, sponsoring, or recruiting Members or Customers.

Healy World reserves the right to terminate an IHWM in violation of this rule.

3.2.3 Activities in China

Members domiciled in China are not allowed to purchase or refer Healy World products inside or outside China. Non-Chinese nationals are not allowed to do Healy business in China. It is not allowed to ship or transport Healy World products to China.

Healy World reserves the right to terminate an IHWM in violation of this rule.

Section 4: Your IHWM Responsibilities

The personal relationships that IHWMs create with their Members and Customers are vital to the fulfilment of Healy World’s value and brand image. A top-level of Customer Service, support, and follow-up are essential to maintain and develop your Healy World business.

Developing a Downline of Members that focus on top-level Customer Service and reaching more people is the basis of a long-term business and vital in helping the Member, their organization, and their Customers to achieve our Healy World mission and create opportunities for our Members – and empower them to thrive and live a life of freedom, passion, and joy.

4.1 Sponsor Responsibilities

4.1.1 Customer Service

As a sponsor, you must maintain a commitment to a high level of Customer Service that meets the expectations of Healy World.  Sponsors are required to respond to all Customer inquiries accurately and promptly, within a reasonable time, and in a personal and direct manner, whether distributing offline or online. As a sponsor:

  • Information you make available must include your contact information.
  • You must engage in a personal relationship with each of your Members and Customers when promoting and referring products. This includes offering a personalized meeting and sales conversation before the referral and as a follow-up.
  • Understand the Members’ or Customers’ intentions and goals with Healy World products.

4.1.2 Business Tools

Healy World offers promotional literature, sales aids, and compensation management tools for free. The official Backoffice of Healy World is a great resource to help you manage your business. 4.1.3 Leading, Training, Mentoring, and ­Development Responsibilities

As a sponsor, you will be responsible for managing, training, mentoring, developing, and regularly communicating with personally registered Members and Customers and their Downlines through electronic means, including email, telephone, SMS, messengers and social media, in-person meetings, attendance to company meetings, training and all other related regular functions. As a sponsor:

  • You must provide training on working with a IHWM or a Customer.
  • You must provide training on the Healy World Compensation Plan.
  • You must explain the duties and responsibilities under the Healy World Rules of Conduct and how to conduct the business in accordance with the rules.
  • You must ensure that communications with Members or Customers are made in accord-ance with the rules and applicable laws and regulations, including Data Privacy.
  • You must be available to answer questions and offer assistance
  • You must encourage participation at Healy World roadshows and events.
  • Upon request, you must advise and assist Customers in converting to IHWMs.

A sponsor may not require a personally sponsored IHWM to pay for training. A sponsor is obligated to provide at no cost the basic training necessary to learn the Healy business.

4.1.4 False Claims

As a sponsor, you should ensure that your Downline does not make improper statements (refer to Section 6) or engage in inappropriate conduct. A sponsor should monitor those in their Downline organizations to ensure that the Downline does not make improper product or business claims or engage in any illegal or inappropriate conduct. Upon request, such IHWM should be able to provide documented evidence to Healy World, refer to Section 7. To submit a violation, contact the Healy World Customer Support.

4.1.5 Sponsors as Brand Ambassadors

As a sponsor, you should always be considerate and may not pressure your Customers or IHWMs to purchase, nor may sponsors engage in high-pressure selling.

4.2. Maintaining the Downline

The sponsor and Member relationship is the basis of the Compensation Plan. Sponsoring can take up time and energy with activities that include supporting, training, and motivating the Downline. To protect the integrity of the Downline and safeguard the sponsor and Member relationship, sponsorship changes are discouraged. These rules are developed to protect both parties.

In cases of discontent, an IHWM should always consult their Upline and search collaboratively for a solution to improve the circumstances. Changes of a sponsor will only be approved by Healy World in the most exceptional circumstances, at and above the Career Title Director.

4.2.1 Interference with Downlines and Relationships

IHWMs may not recruit an applicant, nor interfere with enrolling IHWMs in the Downline of another IHWM. IHWMs may not interfere with the relationship between a IHWM and their sponsor. Example of a such practice is encouraging another Member to change their sponsor.

4.2.2 Correction of a Sponsor

An IHWM who wishes to correct a sponsor must contact Healy World Customer Support. Correction of a sponsor can be completed if the following circumstances are met:

  • An error was made during IHWMs registration.
  • The request is made within seven (7) days after IHWMs registration.
  • The IHWM making the request has not yet sponsored any other Members or Customers.

Approval of the proposed sponsor has been received by Healy Customer Support.

4.2.3 Change of a Sponsor

On rare occasions sponsor changes are permitted for IHWMs with the Career Title Director (DIR), Senior Director (SDR), Vice President (VP), Executive Vice President (EVP), President (PRES), Senior President (SPRES), and Executive President (EVP). Such an IHWM may request a change of sponsor, by completing the ‘Change of Sponsor Form’.

A change of sponsor requires the consents of three (3) actual Uplines and consents of the proposed new sponsor, provided in the ‘Change of Sponsor Form’. The change of sponsor will be considered and authorized by Healy World after all consents necessary have been provided and validated.

The required ‘Change of Sponsor Form’ may be obtained from Healy World Customer Support. The IHWM intending to change sponsor must personally take care of providing the consent of all necessary Uplines. This form must be submitted to Healy Compliance, along with signatures and proof of identification of all necessary Uplines, only then will the change of sponsor be considered.

If an IHWMs fails to obtain a response from the necessary Upline, due to possible inactivity, after a period of twenty (20) days without receiving the Uplines response, the form may be submitted along with proof of the interaction.

Healy World reserves the sole discretion to ­either accept or reject a change of sponsor.

If the request for a change of sponsor is denied, the IHWM may cancel their membership and comply with the period of inactivity before re-registering under a different sponsor. Refer to Rule 2.1.8.

4.2.4 Unethical Sponsoring

Unethical sponsoring activities include, but are not limited to, enticing, bidding, or engaging in non-compliant competition trying to acquire a prospect, or new IHWM from another IHWM or influencing another IHWM to transfer to a different sponsor. Healy World reserves the right to correct sponsor errors at any time and in whatever manner it deems necessary.

4.2.5 Reporting of Unethical Sponsoring

Allegations of unethical sponsoring must be reported to Healy Customer Support. If the reports are substantiated, Healy World may transfer the IHWM or the IHWMs Downline to another sponsor, without approval from the current Upline sponsor or placement IHWMs, and without explanation, as deemed correct in such situations.

4.2.6 Solicitation and/or Enticement

If an IHWM engages in solicitation and/or enticement of Members of another direct selling company to refer Healy World products and services, they bear the risk of being sued by the other direct selling company. If any lawsuit is brought against an IHWM alleging that they engaged in inappropriate prospecting activity of another company’s sales force or consumers, Healy World will not pay any of the IHWMs defense costs or legal fees, nor will Healy World indemnify the IHWM for any judgment, award, or settlement.

4.2.7 Multiple accounts

Multiple Member accounts are not allowed. In case of multiple accounts, only one (1) Membership may be kept, and additional memberships will be terminated by Healy World. IHWMs are only allowed to re-register after deletion or cancellation, observing the three (3) months waiting period.

The selection and termination of any “multiple accounts” is a final decision of Healy World.

4.2.8 Merging Accounts

The merging of accounts is not allowed. In case of such a violation during an account transfer or second account creation, only the first account will be maintained without sanctions. If the Member wishes to maintain the second account, the three (3) months waiting period applies.

4.2.9 Change of Placement

Once an IHWM enrolls a new IHWM, the recently enrolled IHWM can be manually placed in the next available outermost position either in the left or right Dual Team Leg. The system will auto-matically place IHWMs after 7 days.

If a sponsor wishes to correct an IHWMs placement, they must contact Healy Customer Support. Correction of a placement can be completed if the following conditions are met:

  • An error was made during the placement.
  • The request is made within seven (7) days after the concerned IHWM registration.
  • The concerned IHWM has not yet sponsored any other Members or Customers.

Healy World reserves the sole discretion to either accept or reject a change of placement.

Section 5: Promoting your Business

Promotion may help Members to grow or manage their Healy business by advertising. It is important that the promotion of Healy World products and services, whether online or offline, aligns with Healy World’s quality standards, helps promote the Healy World value, brand image, and is consistent with the Healy World marketing positioning.

During promotional activities, IHWMs must comply with Customer protection laws, fair use of the Healy World intellectual property, and must in certain circumstances obtain approvals from Healy World. IHWMs are not permitted to make direct sales of Healy World products through their websites or social media. All purchases must be made through the official Healy World website.

5.1 Intellectual Property

Intellectual property refers to designs, symbols, names, and images, owned by Healy World. Copyright is a legal term used to describe the rights that Healy World has over its intellectual property, such as trademarks, branding, and trade names.

To maintain and strengthen the Healy World brand and its recognition, Members may use Healy World intellectual property.  Healy World offers various templates, which are available for download. IHWMs do not need permission to use materials made available for download, but must abide by the copyright and trademark rules, whether offline or online.

5.1.1 Copyright

Healy World owns the copyright to all materials produced by Healy World. These include printed material, internet content, audio, and video recordings. IHMWs must disclosure the usage of these materials in the following way:

Healy World reserves the right to withdraw its consent to use its copyrighted materials.

5.1.2 Trademark, Names and Branding

Members may use the Healy World trademarks, names, and branding, which have been made available for download, without permission. To maintain the integrity of the Healy World brand, and avoid improper and inconsistent use of these materials, IHWMs must:

  • Always identify themselves as Independent Healy World Members (IHWMs).
  • Not alter trademarks or other forms of branding, except resizing.
  • Disclose copyrighted materials, refer to Rule 5.1.1.

Healy World reserves the right to withdraw its consent to use its trademarks, names, and branding.

IHWMs who engage in alternative business opportunities may not utilize Healy World intellectual property to promote or advertise those products of the alternative business opportunity, refer to rule 3.1.15.

5.1.3 Name or Image of our Founders or Corporate Management

The name or image of our founders or corporate management may not be used in any promotions, without written permission.

5.1.4 Name or Image of Markus Schmieke

The name or image of Markus Schmieke may not be used in any promotions, without written permission.

5.1.5 Healy World Addresses

The addresses of Healy World offices may not be published, used, or promoted by any IHWM as their own.

5.2 Promotional Material

Promotional material can be generated toward soliciting new Customers, recruiting new IHWMs, promoting or advertising your Healy Business, or providing training or presentations. All promotional material created by IHWMs must comply with all Rules and local law.

5.2.1 Healy Academy

Education, training, and motivation are critically important to build a successful independent business. To educate IHWMs in the business and assist with training and motivation, as well as teaching how to train and motivate others, Healy Academy prepares various training and support services. 5.2.2 Healy World Templates

Healy World Backoffice offers a variety of templates which IHWMs may use without permission. These templates include presentations, Independent Healy World Member logo, backgrounds, flyers and much more. Healy World Backoffice: https://my.healy.world

5.2.3 Independently Produced Material

Members may independently produce or procure and distribute their own promotional material, obtaining previous approval from Healy World. These may include business aids, books, magazines, flip charts and other printed material, online literature, applications, audio, and video. Written approval must be obtained by contacting Healy World Customer Support, refer to Rule 5.8.

5.2.4 Fair Use of Promotional Material

Members may produce their own promotional material, however, must ensure that their promotional material is fair, true, correct, and not misleading. Misleading material may harm Healy World and Healy businesses. Materials must:

  • Make no false statements (Refer to Section 6).
  • Display the Independent Healy World Member logo (Refer to 5.2.2) in a prominent location.
  • Display their name, address, and contact information (Refer to Rule 3.1.8) in a prominent location.
  • Provide accurate and truthful information.
  • Comply with these rules and local law.

5.2.5 No Charge of Fees for Promotional Material

Members may not charge fees for promotional materials to other IHWMs, whether belonging to their own organization, another organization, or prospects. Assistance in the use of Healy World promotional material, products, and education of any kind shall always be offered free of charge.

5.3 Training

5.3.1 Organizing Meetings, Training, and Seminars

Members may independently organize meetings, training, and seminars, however, must ensure that these are fair, true, correct, and not misleading. Misleading training may harm Healy World and Healy businesses. Training must:

  • Make no false statements (Refer to Section 6)
  • Provide accurate and truthful information
  • Comply with these rules and local law

5.3.2 No Charge of Training Fees

Members may not charge training fees to other IHWMs, whether belonging to their own organization, another organization, or prospects. Assistance in the use of Healy World products, training, and education of any kind shall always be offered free of charge.

If an IHWM has incurred costs for organizing and holding the trainings, (i.e., renting of a room, costs for special audio and video equipment) an exception to the above rule may be made at the discretion of Healy World and provided that the cost breakdown is comprehensible.

5.4 Websites

These rules apply for IHWMs with independent websites, referring Healy World products.

5.4.1 Disclosing Independent Relationship

Members may operate independent websites that use Healy World trademarks and other forms of branding. To avoid confusing the public, IHWMs must identify themselves as an Independent Healy World Member. On their website, IHWMs must:

  • Display the Independent Healy World Member logo (Refer to 5.2.2) in a prominent location.
  • Display their name, address, and contact information (Refer to Rule 3.1.8) in a prominent location.
  • Avoid the same or similar visual appearance as the official Healy World website.

Healy World reserves the right to require IHWMs to correct their website or impose sanctions.

5.4.2 Fair Use of Independent Website

Members may operate their independent website, however, must ensure that their website is fair, true, correct, and not misleading. Misleading independent websites may harm Healy World and Healy businesses. Websites must:

  • Make no false statements (Refer to Section 6)
  • Provide accurate and truthful information
  • Comply with these rules and local law
  • Not conduct transactions for the sale of any Healy World product. All online sales will be made through the official Healy World website.

5.4.3 Domain Names

Members may not use Healy World intellectual property without approval in their website domain name. For example, Healy World France. IHWMs may not use Healy World intellectual property without approval in their e-mail ­addresses.

Healy World reserves the right to require IHWMs to correct their domain names or impose ­sanctions.

5.4.4 Associations

To avoid false association of Healy World products with other products or third-party companies, IHWMs may not use or mention third parties’ trademarks, or other forms of branding within their independent websites. IHWMs may not cross-promote products or services of third parties within their independent website, without prior approval by Healy World. Only Healy World products may be advertised and promoted on the independent website.

IHWMs may link their independent websites to the official Healy World website, other IHMWs websites, and social media pages if the links are compliant with the rules.

Healy World reserves the right to require IHWMs to remove or correct such or impose sanctions.

5.4.5 Privacy Notice and Responsibility

Members must publish a privacy notice on their independent websites, in a prominent location. An IHWM is personally responsible for their independent website and must comply with all local laws, such as consumer laws, privacy, and data proception laws, and the rules.

The IHWM must publish a privacy notice that informs Customers of:

  • The personal information that is being collected.
  • How this information is used.
  • With whom the information will be shared.
  • Any additional information required.

5.5 Social Media

These rules apply for IHWMs with social media pages, including but not limited to Twitter, YouTube, Facebook, Snapchat, Pinterest, LinkedIn, and Instagram, as well as online communities such as blogs, referring Healy World products.

5.5.1 Disclosing Independent Relationship

Members may use Healy World trademarks and other forms of branding on social media. To avoid confusing the public, IHWMs must identify themselves as an Independent Healy World Member. On their page, IHWMs must:

  • Display the Independent Healy World Member logo (Refer to 5.2.2) in a prominent location.
  • Display their name, address, and contact information (Refer to Rule 3.1.8) in a prominent location.

Healy World reserves the right to require IHWMs to correct their page or impose sanctions.

5.5.2 Fair Use of Social Media

Members must ensure that their page and posts are fair, true, correct, and not misleading. Misleading pages and posts may harm Healy World and Healy businesses. Pages and posts must:

  • Make no false statements (Refer to Section 6)
  • Provide accurate and truthful information
  • Comply with these rules and local law
  • Not conduct transactions for the sale of any Healy World product. All online sales will be made through the official Healy World website.

5.5.3 Misrepresentation

Members shall not be involved in social media dialogues that misrepresent or give incorrect or misleading information about Healy World, its products, or services, or may generally lead to a loss of reputation by Healy World. IHWMs are not permitted to post information or statements on behalf of Healy World.

5.5.4 Domain Names

Members may not use Healy World intellectual property without approval in their social media name. For example, an Instagram page named: Healy World France.

Healy World reserves the right to require IHWMs to correct their domain names or impose ­sanctions.

5.5.5 Associations

To avoid false association of Healy World products with other products or third-party companies, IHWMs may not use or mention third parties’ trademarks, or other forms of branding within their social media pages or posts. IHWMs may not cross-promote products or services of third parties within their pages or posts, without prior approval by Healy World. Only Healy World products may be advertised and promoted on these pages and posts.

IHWMs may link their social media pages or posts to the official Healy World website, other IHWMs websites, and social media pages if the links are compliant with the rules.

Healy World reserves the right to require IHWMs to remove or correct such or impose sanctions.

5.5.6 Responsibility

A Member is personally responsible for their online social media page and posts and must comply with all local laws, such as consumer protection laws, privacy and data protection laws, and the rules. Content that does not comply with these guidelines will be deleted and the IHWM will be advised that such activity is a violation of Healy guidelines. Failure to comply with all Healy policies will also result in further action, such as termination and the initiation of legal action.

5.6 Interview or Statements to Media

Members may not be involved in interviews regarding, or referring to Healy World with any media, whether by television, internet, radio, magazines etc. nor utilize any advertising media (including viral advertising as SMS, internet etc.) for the purposes of marketing of their Healy World business without Healy Worlds prior written consent. An IHWM shall never reply to media inquiries, neither criticize publications without the prior consent of Healy World.

5.7 Paid Advertisements

To avoid brand confusion and protect the Healy World brand reputation, and in fairness to all IHWMs, IHWMs are not permitted to purchase sponsored Healy World ­related advertisements on other websites or social ­media.

Healy World reserves the right to require IHWMs to ­delete their advertisement or impose sanctions.

5.7.1 Search Engine Advertising

A Member may not use paid search engine marketing to improve their index preference. IHWMs may not use any misleading method to solicit new Customers, recruit new IHWMs, promote their Healy business, or advertise their Healy business.

Healy World reserves the right to require IHWMs to delete their advertisement or impose sanctions.

5.7.2 Generating Leads

Members may not purchase leads from any source. IHWMs may not use any misleading method to improve their page or website, resulting in perceived popularity. Placement targeting and creating ads via search engines is not allowed.

5.7.3 Purchasing Followers and Likes

Members may not purchase followers or likes. IHWMs may not use any misleading method to improve their social media account or page, resulting in perceived popularity.

5.8 Written Permission Healy World

To obtain approval from Healy World for activities or usage including, but not limited to:

  • Healy World intellectual property, such as domain names
  • Independently produced material
  • Third-party associations
  • Interview or statements to media

Section 6: Statements About Healy World Products and Business Opportunities

Maintaining the integrity of Healy World products and the Healy business opportunities is one of Healy World primary responsibilities. When IHMWs share their stories with others, statements about Healy World products and Healy business opportunities are made. Simple statements about product benefits, possible earnings, or possibilities in the Healy business can impact others.

This section will help understand the impact, and possible breach of regulations established by law, making certain claims can have on the Healy World brand and Healy businesses. The purpose of these rules is, in part, to help IHWM comply with the law.

6.1 Statements

6.1.1 Truthful, and not Misleading

An IHWM shall only make truthful, and no ­misleading statements about Healy World products and services and the Healy Business opportunity.

  • Any statement on Healy World should only be taken verbatim from the official Healy World literature, official Healy World website intended, and if approved for use in the respective market.

6.1.2 Statements Healy Business Opportunity

A Member is fully responsible for all their verbal, written, and online communications made re-garding Compensation Plan that are not expressly contained within official company materials. IHWM’s must follow the local laws relating to earnings claims and personal stories. IHWMs may not make exaggerated claims about Healy business opportunities or earnings. Refer to the disclaimer in 6.2.3.

Healy World may take appropriate action against an IHWM. If Healy World determines, in its sole discretion, that the IHWMs conduct is detrimental, disruptive, or injurious to the Healy World or its IHWMs and Customers.

6.1.3 Statements HEALY Products

A Member is fully responsible for all their verbal, written, and online communications made re-garding Healy World products and the Compensation Plan that are not expressly contained within official company materials. IIHWMs may not make exaggerated claims about Healy products or services.

IHWMs MUST:

  • Make only claims permitted from the official Healy World literature, Healy World website, and if approved for use in the respective market.
  • Accompany all claims, including personal stories, with the following disclaimer:

This product is not intended to diagnose, treat, cure, or prevent any disease.

 

IHWMs MUST NOT:

  • state that not using Healy World products harm an individual’s health.
  • make any exaggerated or non-guaranteed claims and/or statements, such as medical and/or health claims and/or statements as well as statements made by physicians and/or a third person.
  • present Healy World products and services incorrectly regarding quality, standards, grades, contents, style or model, place of origin, or availability.
  • advertise Healy World products at a price less than the highest price published by Healy World, established retail price plus shipping, handling, and applicable taxes. No special enticement advertising is allowed. This includes, but is not limited to, offers of free Healy World businesses, free shipping, or other such offers that grant advantages beyond those available through Healy World.
  • state that Healy World products and services present features such as accessories, uses, or benefits that Healy World products and services do not have.
  • State that Healy World products treat, cure, or prevent diseases or medical conditions.

6.2 Disclaimers

Healy World products and services must be presented in compliance with Customer protection and advertising laws. When promoting or presenting Healy World products, IHWMs must add disclaimers in all audio presentations, visual presentations, written presentations, and promotional material. Disclaimers must appear long and large enough for an average reader to read them completely.

6.2.1 Healy Frequency Applications

Section 7: Enforcement Policy

The Rules of Conduct protect the Healy World products and services, the business opportunity, and the brand. Violations of the Rules can harm or impact the Healy World brand image, products, reputation, and all Healy businesses. This might influence regulators, the media, and public opinion.

While the Rules of Conduct is here to educate our IHWMs, instances could arise where violations could cause strict enforcement by Healy World. Healy World strongly encourages IHWMs to report alleged violations of the rules.

7.1 Reporting a Violation

Members are encouraged to report suspected violations, for example, improper product or business claims or suspicion of engaging in any illegal or inappropriate conduct. Upon request, an IHWM should be able to provide documented evidence to Healy World. To submit a violation, contact the Healy World Customer Support.

7.1.1 Inquiry

Healy World reserves the right to conduct an inquiry at any time. If Healy World determines in sole discretion if there is adequate information to support the allegation, Healy World will notify the IHWM who is subject in writing by email or any other means to allow the IHWM to respond.

In certain circumstances, it may be required to place sanctions on an IHWM during the inquiry process. Sanctions may be enforced for up to twelve (12) months with immediate effect, pending investigation of the violation of rules.

7.1.2 Sanctions

Violations might harm the Healy World brand, and its businesses or may result in legal challenges for Healy World. For this reason, enforcing sanctions is necessary. Healy World has the sole discretion to determine the appropriate sanction based on the nature of the violation, including:

  • Sanctions to prevent access to Backoffice.
  • Sanctions on financial compensation.
  • Disqualification from events and participation in promotions.
  • Termination of membership.

7.1.3 Termination of Membership

Healy World reserves the right to terminate an IHWMs membership if the IHWM violates the rules.

The termination is effective immediately after receiving written notification of Healy World.

A terminated IHWM:

  • Shall have no right, title, claim, or interest to any bonus from the sales generated by the IHWM’s former organization or any other rewards in association with the IHWM’s former independent business.
  • Effectively waives all claims to property rights or any interest in or to the IHWM’s former Downline.
  • Shall have access to their earnings made prior to the termination through their eWallet account.
  • May not reapply for a business, either under his or her present name or any other name or entity.
  • Is prohibited from using the names, marks or signs, labels, stationery, advertising, or business material referring to or relating to any Healy World products or services or any other Healy World intellectual property.

7.1.4 Appeal

An IHWM may submit an appeal of the termination within 30 days after receiving the written notification of Healy World. If an IHWM does file a timely appeal of termination, Healy World will review its decision, along with any other information it may deem relevant, reconsider any other appropriate action, and notify the IHWM of its decision. The decision of Healy World is then considered final and not subject to further review.

Section 8: Privacy and Data Protection

Healy World collects, uses, and processes your personal data as a IHWM in accordance with the requirements of the various privacy and data protection laws applicable in the countries or markets where we operate. You can find more details in the “Privacy Policy for IHWM” in your Healy World Backoffice. For more information or regarding any question relating to personal data, please contact our data protection officer at privacy@healy.world.

IHWMs are own data controller. IHWMs must be aware of their country’s data protection laws and must comply with these applicable data protection laws.

Due to the unique nature of direct selling, IHWMs may receive personal data about other IHWMs or Customers through referrals, Downlines and/or within their teams. Personal information includes, but is not limited to names, home addresses, telephone numbers, e-mail addresses and personal details.

A IHWM may only use this personal information to develop their business relationship with their Downline, Customers, or referrals. IHWMs must not collect, use, or process personal data of indi-viduals except to develop their Healy business and personal relationships, and for the sole purpose of managing, motivating, and training those individuals. IHWMs may not use personal data for pur-poses other than those for which it was collected unless the individual has consented to such use or IHMWs have a legal basis for doing so. Those legal bases can be:

  • consent from the person,
  • compliance with a legal obligation,
  • execution of a contract with the person,
  • legitimate business interest, provided this interest is not outweighed by the privacy in-terest of the person.

Please keep in mind, the use of data for marketing purposes requires express consent of the individual. We recommend gathering a written consent. A consent can be withdrawn at any time by the data subject, please provide an easy way to contact you.

IHWM must respect the right of individuals to request access to their personal data at any time, to limit their processing, to object to their processing and to have their personal data deleted. These rights are subject to the data privacy legislation in force.

It is the responsibility of IHWM to safeguard and retain all personal data received, and to delete it when the purpose of collection is achieved or as required by law.

Please note that privacy and data protection laws often impose more stringent consent, security and retention requirements for health and wellness data.
